Terms of Service

These Terms of Service ("Terms") govern your access to and use of OptiqOS, including optiq-os.com, app.optiq-os.com, and the OptiqOS application (collectively, the "Service"). The Service is operated by NaviPoint Technologies, Inc., a wholly-owned subsidiary of Vertis Group Inc ("we", "us", "OptiqOS"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have authority to bind any organization on whose behalf you use the Service.
2. Account and connected services
You are responsible for the accuracy of the information you provide and for safeguarding your credentials. When you connect a third-party service via OAuth, you authorize OptiqOS to access that service on your behalf for the purposes described in our Privacy Policy. You may revoke access at any time.
3. Acceptable use
You will not:
- Use the Service in violation of applicable law or third-party rights
- Attempt to access data belonging to other customers
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Probe, scan, or test the vulnerability of any system or network without authorization
- Use the Service to send spam, malware, or harassing communications
- Resell or sublicense the Service without our written permission
4. Customer data
You retain all rights to the data you submit or that OptiqOS retrieves on your behalf from connected services ("Customer Data"). You grant us a limited, non-exclusive license to host, process, and display Customer Data solely to provide the Service. We will handle Customer Data as described in the Privacy Policy.
5. Fees
Some features of the Service may be free; others require a paid plan. Fees, billing terms, and any free-trial or pilot terms will be presented to you before you commit. Unless otherwise stated, fees are non-refundable.
6. Intellectual property
The Service, including all software, designs, content, and trademarks, is owned by NaviPoint Technologies and its licensors. We grant you a limited, non-transferable license to use the Service for its intended purpose. All rights not expressly granted are reserved.
7. Third-party services
The Service integrates with third-party platforms (Google, QuickBooks Online, GoHighLevel, Meta, and others). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services or for any data they make available.
8. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if continued use poses security or legal risk. Sections that by their nature should survive termination will survive.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that all data syncs will be complete or timely.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER NAVIPOINT TECHNOLOGIES NOR ITS AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You will indemnify and hold harmless NaviPoint Technologies and its affiliates from any claim arising out of (a) your breach of these Terms, (b) your Customer Data, or (c) your violation of applicable law.
12. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Delaware, and the parties consent to personal jurisdiction there.
13. Changes to these Terms
We may modify these Terms from time to time. Material changes will be announced in the application or via email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
